Tether Hadron API Terms of Use

The following terms and conditions (the “API Terms of Use“) govern your access to, and use, of Tether Hadron proprietary application programming interface (the “Hadron API“) and the related documentation, the current version of which is located at the “Hadron API Documentation“, all of which are designed to facilitate your access to, and use of the Hadron by Tether online platform which provides access to software tools for creating and managing cryptocurrencies.

These API Terms of Use supplement, and form part of, the Hadron By Tether Terms of Use, the current version of which is located at the “Terms of Use“. Accordingly, these API Terms of Use will be governed by and interpreted in accordance with the Terms of Use; capitalized terms used herein but not defined shall have the meanings set out in the Terms of Use. In the event of any conflict or inconsistency between the API Terms of Use and the Terms of Use, these API Terms of Use will prevail, except that “Tools” will include making available the Hadron API and Hadron API Documentation to you.

These API Terms of Use may be amended, changed, or updated by Tether Hadron at any time and without prior notice to you. You should check back often on the Site to confirm that your copy and understanding of these API Terms of Use is current and correct. Your non-termination or continued access or use of any Hadron API after the effective date of any amendments, changes, or updates constitutes your acceptance of these API Terms of Use, as modified by such amendments, changes, or updates.

1. Use of the Hadron API and Hadron API Documentation

  • 1. API Keys Required to Access the Hadron API. In order to use the Hadron API, you must first create an Account on the Platform to access the Tools. Certain authenticated features and functionality available through the Hadron API require an authentication key. If you wish to access these features and functionality through the Hadron API, you must further generate one or more API keys (each, an “API Key”). You acknowledge that such API Keys are our confidential information and will not share your API Keys with any third party without our prior consent. In addition, we may revoke your API Keys any time without your consent.
  • 2. Use of the Hadron API. Subject to your compliance with the terms and conditions hereunder, you may use the Hadron API solely in accordance with these API Terms of Use and the Hadron API Documentation. You are responsible and liable for all uses of the API that occur through the access we have granted to you. You shall monitor the use of the Applications for any activity that violates Law or any terms and conditions of these API Terms of Use or the Terms of Use. You will use commercially reasonable efforts to safeguard the API from infringement, misappropriation, theft, misuse, or unauthorized access.
  • 3. License to Hadron API Documentation. We hereby grant to you a revocable, non-exclusive, non-sublicensable, non-transferrable license to access and use the Hadron API Documentation solely to facilitate your development of applications that interface with the Platform and Tools in accordance with these API Terms of Use and the Hadron API Documentation (each such application, an “Application”)
  • 4. Open Source Libraries. From time to time, we may make available to you our libraries that assist you with the development of Applications (such libraries, the “Hadron Open Source Libraries”). The Hadron Open Source Libraries are governed by open source licenses selected by us that accompany the source code and you acknowledge and understand that it is your responsibility to review such licenses carefully and to comply with the terms and conditions contained therein.
  • 5. API Call Limitations. The number of calls you or your Application makes to the Hadron API during any given period may be limited, at our sole discretion, based on various factors that include the manner in which your Application makes calls to the Hadron API and the anticipated volume of use associated with your Application.
  • 6. Changes to the Hadron API. We reserve the right to change the Hadron API and Hadron API Documentation at any time and without notice. You acknowledge and understand that these changes may require you to make substantial changes to your Application at your own cost and expense. It is your responsibility to review the Hadron API Documentation and these API Terms of Use regularly.
  • 7. Suspension or Revocation of Access. Notwithstanding the foregoing, we retain the right, at our sole discretion, to suspend or revoke your access to the Hadron API, at any time and for any reason, including for: (i) violation of these API Terms of Use or the Terms of Use; (ii) your use of the Hadron API contrary to the Hadron API Documentation; (iii) for scheduled maintenance; or (iv) to address any emergency security concerns.
  • 8. No Fees. You acknowledge and agree that no license fees or other payments will be due under these API Terms of Use in exchange for the rights granted hereunder. You acknowledge and agree that this fee arrangement is made in consideration of the mutual covenants set forth in this agreement, including, without limitation, the disclaimers, exclusions, and limitations of liability set forth herein.

2. Hadron API Use Restrictions

You will not use or access the Hadron API in any way not expressly permitted under these API Terms of Use or the Hadron API Documentation. Without limiting the generality of the foregoing, you will not:

  • 1. develop any Applications that: (i) are fraudulent or misleading; (ii) infringe on any third party's intellectual property rights or rights of publicity or privacy; (iii) are defamatory, trade libelous, threatening, or harassing; (iv) contain any viruses or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system or data; (v) replicate or attempt to replace the essential user experience of the Tools or any of our other products; or (vi) otherwise violate any applicable Law;
  • 2. copy, modify, decompile, reverse engineer, or otherwise alter the Hadron API, in whole or in part;
  • 3. rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the API;
  • 4. use the Hadron API in any manner that may threaten the security or functionality of the Hadron API or our Tools;
  • 5. use the API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any Law;
  • 6. attempt to cloak or conceal your identity when requesting authorization to use the API;
  • 7. use the Hadron API to circumvent the intended features, functionality or limitations of the Tools; or
  • 8. perform any vulnerability, penetration or similar testing on the Hadron API.

3. Monitoring Usage of API; Collection and Use of Information

You acknowledge and agree that we may monitor your use of the Hadron API and that you will not block or otherwise interfere with our monitoring.

We may collect certain information through the API about you or any of your employees, contractors, or agents. By accessing, using, and providing information to or through the API, you consent to all actions taken by us with respect to your information in compliance with the Privacy Statement.

4. Communications Not Confidential

Your use of the Hadron API requires the transmission of data and information over the Internet and public networks. Accordingly, we do not, and cannot, guarantee the confidentiality, security or reliability of any communications made by you or your Applications through the Hadron API.

5. Ownership

All rights (including intellectual property rights), title and interest in and to the Hadron API, the Hadron API Documentation, and all other materials provided by us hereunder, and any update, adaptation, translation, customization or derivative work thereof, will remain with us (or our third-party suppliers, if applicable). The Hadron API, Hadron API Documentation, and all materials provided by us hereunder are licensed and not “sold“ to you. All rights not expressly granted to you in these API Terms of Use are reserved.

6. No Warranties; Limitation of Liability; Indemnities

  • 1. No Warranties. THE HADRON API IS PROVIDED “AS IS” AND ON AN “AS-AVAILABLE” BASIS. TETHER HADRON HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TETHER HADRON SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. TETHER HADRON MAKES NO WARRANTY OF ANY KIND THAT HADRON API OR RESULT OF THE USE OF SUCH HADRON API WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER PRODUCTS, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE HADRON API.
  • 2. Limitation of Liability. In addition to the Exclusion of Liability provisions set out in the Terms of Use, to the maximum extent permitted by applicable Law, you irrevocably agree and acknowledge that no Associate assumes any liability or responsibility for and no Associate assumes any liability or responsibility for any Losses directly or indirectly arising out of or related to: (i) any breach by you of these API Terms of Use; (ii) any failure by you to comply with Laws; (iii) any communication, other statement or omission by any Person other than Tether Hadron regarding the Hadron API; (iv) any information or materials available through the Site including the Hadron API Documentation, whether originating from an Associate or any other Person; or (v) any negligent or intentional acts or omissions by you, or criminal or other third-party acts affecting any Associate.

    You hereby agree to release the Associates from liability for any and all such Losses, and you shall indemnify and save and hold the Associates harmless from and against all such Losses. To the maximum extent permitted by applicable Law, the foregoing limitations of liability, releases and indemnities shall apply whether the alleged liability or Losses are based on contract, negligence, tort, unjust enrichment, strict liability, violation of law or regulation, or any other basis, even if the Associates have been advised of or should have known of the possibility of such Losses and damages, and without regard to the success or effectiveness of any other remedies.

    Each Associate shall be entitled to enforce the foregoing provisions as if in direct privity under these API Terms of Use.

    Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations of liability may not apply to you.

  • 3. Indemnity In Connection with Your Use of the Hadron API. Without limiting the generality of the foregoing, you agree to indemnify and hold harmless us and all our Associates from and against any and all Actions, Losses or related judgments of any kind or nature, which may be imposed on, incurred by, or asserted against us or any Associate in any manner relating to or arising out of: (i) your Applications, including any end user’s use thereof; (ii) your breach of applicable Laws or your representations or warranties hereunder; or (iii) your use of the Hadron API contrary to these API Terms of Use, the Terms of Use or the Hadron API Documentation. Notwithstanding anything to the contrary in the foregoing, you shall not have any indemnification obligation under this paragraph to Tether Hadron or any Associate to the extent caused by or resulting from the bad faith, willful misconduct or gross negligence of Tether Hadron or such Associate.
